These Terms and Conditions govern all quotes, orders, sales, and deliveries of equipment, consumables, training, and related services by World Aesthetix LLC (World Aesthetix, we, us) to the purchaser (Buyer, you).

1. Agreement to Terms

By placing an order, you accept these terms in full. Any purchase order, acknowledgement, or other document you issue containing different or additional terms has no effect unless we have agreed to it in writing and signed it.

2. Definitions

Qualified Purchaser means a purchaser who holds, and maintains in good standing, all licenses, certifications, and regulatory authorizations required in their jurisdiction to purchase, possess, and operate the equipment being purchased. Where a device is restricted to sale on the order of a licensed practitioner, Qualified Purchaser means a practitioner so licensed, or an entity purchasing under the direction of one.

Equipment means any device, system, handpiece, or hardware sold by World Aesthetix.

Consumables means tips, cartridges, gels, filters, and other items intended to be depleted through normal use.

3. Qualified Purchasers Only

Equipment classified as medical or aesthetic medical equipment may be purchased only by Qualified Purchasers. We may require documentary evidence of licensure before accepting an order, before shipping, or at any point afterward.

You are responsible for confirming that you are permitted to purchase, possess, and operate the Equipment in your jurisdiction, and for maintaining that authorization for as long as you hold it. We may cancel or refuse to fulfil any order where we are not satisfied this condition is met.

4. Quotes, Orders, and Acceptance

Quotes are valid for the period stated on the quote and are not offers capable of acceptance until we confirm the order in writing. Prices exclude taxes, duties, freight, and insurance unless the quote states otherwise. An order is accepted only when we issue a written confirmation.

5. Payment

Payment terms are as stated on the applicable quote or invoice.

Title to Equipment does not pass to you until we have received payment in full. Risk of loss passes on delivery.

6. Cancellation and Returns

Once we have accepted an order, it is binding. We may accept a cancellation request at our sole discretion. Where we do, a restocking or cancellation fee of between 10% and 20% of the order value applies. Custom-configured, special-order, and already-shipped items may not be cancelled.

7. Delivery and Inspection

You must inspect all Equipment on arrival and report any visible damage, shortage, or defect to us in writing within 48 hours of delivery. Equipment not reported within that window is deemed accepted as delivered.

Reporting within this window is a condition of any claim for transit damage or shortage. It does not affect your rights under the warranty in Section 8.

8. Warranty

World Aesthetix warrants that Equipment will be free from defects in materials and workmanship for 24 months from the date of arrival at your premises. Consumables are excluded unless a specific consumable warranty is stated in writing.

This warranty does not cover:

  • damage from misuse, abuse, neglect, accident, or operation outside the published specifications
  • damage from power supply irregularities, improper installation, or unsuitable environmental conditions
  • Equipment repaired, modified, or serviced by anyone other than World Aesthetix or a technician we have authorized in writing
  • cosmetic wear that does not affect function
  • consumables and parts subject to normal depletion

Our obligation under this warranty is limited, at our option, to repair, replacement, or refund of the purchase price of the affected Equipment.

9. Training and Documentation

Where training is included, it is delivered as described in the applicable quote. All training materials, manuals, protocols, and documentation remain the property of World Aesthetix and are provided under a limited, non-transferable license for your internal use only. You may not copy, redistribute, publish, resell, or use these materials to train third parties without our prior written authorization.

10. Regulatory Compliance and Clinical Responsibility

Equipment is cleared or authorized for specific indications. You are responsible for:

  • operating Equipment only within its cleared indications and published parameters
  • ensuring every operator is appropriately trained, licensed, and supervised as your jurisdiction requires
  • obtaining informed consent from patients and maintaining clinical records
  • complying with all applicable federal, state, and local law governing your practice

World Aesthetix does not practice medicine, does not direct clinical decisions, and does not assume responsibility for treatment outcomes or for your compliance with the law governing your practice.

11. Resale and Confidentiality

Equipment may not be resold, leased, sublicensed, exported, or otherwise transferred without our prior written consent. Pricing, technical documentation, training materials, and any information we identify as confidential must be kept confidential and used only for the purpose for which it was provided.

12. Limitation of Liability

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to any order, whether in contract, tort, or otherwise, is limited to the purchase price of the Equipment giving rise to the claim.

We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost business opportunity, or loss of goodwill, whether or not we were advised of the possibility. Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law.

13. Indemnification

You will indemnify and hold harmless World Aesthetix and its officers, employees, and agents against any claim, loss, or expense arising from your use of the Equipment, your treatment of patients, your breach of these terms, or your failure to hold or maintain the authorizations required to operate the Equipment.

14. Force Majeure

Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including supply chain disruption, shipping delays, customs action, labour disputes, natural events, and acts of government.

15. Governing Law and Disputes

These Terms and Conditions are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.

Any dispute arising out of or relating to these terms or to any order will be brought exclusively in the state or federal courts located in Duval County, Florida, and both parties consent to the jurisdiction of those courts.

16. Changes to These Terms

We may update these Terms and Conditions at any time. The version in effect when your order is accepted governs that order. The current version is always published at worldaesthetix.com/terms-and-conditions.

17. Severability and Entire Agreement

If any provision of these terms is found unenforceable, the remaining provisions continue in full effect. These terms, together with the applicable quote and order confirmation, constitute the entire agreement between the parties and supersede all prior discussions and representations.
